Constitution of the Austin Area Women’s Golf Association

Article I.
Name

The name of this Association shall be the Austin Area Women’s Golf Association (AAWGA).

Article II.
Purpose

The purpose of this Association shall be to promote and conserve the true spirit of the honorable game of golf as embodied in its ancient traditions, to sponsor six or more monthly events at various courses within the Austin area, and to conduct two major events each year: a two-day Eclectic Tournament and a AAWGA Championship.

Article III.
Membership

There shall be three classes of membership: Association Clubs, Association Members, and Individual Members.

            Section I.   Association Clubs:  Any women’s golf associations affiliated with a private club or a municipal course is eligible to petition for membership in the Association.

            Section II.  Association Members:  Any woman associated with an attested, established handicap is eligible to join their Association Club in good standing and participate in the Association.

            Section III.  Individual Members:  Any woman with an attested, established handicap is eligible to join an “At Large” group and is eligible for participation in the Association.

Article IV.
Fiscal year

The fiscal year for the Association shall coincide with the calendar year.

Article V.
Dues

Dues for any class of membership shall be established by the Governing Board of the Association at its organizational meeting each year.

Article VI.
Membership Meetings

            Section I. Regular Meetings. One general membership meeting shall be held annually at the final event sponsored by the Association in that fiscal year.

            Section 2. Special meetings. Upon written and verified petition of five percent of the Individual members in good standing, the President shall convene a general membership meeting to consider a specified subject for discussion.

Article VII.

Robert’s Rules of Order (Newly Revised) shall be the final authority as to parliamentary procedure in the conduct of affairs of the Association.

Article VIII. 
Officers and Executive Committee

            Section 1. Officers. The officers of this Association shall be a President, a Vice President, a Secretary, a Treasurer, and a Historian (amended 6/25/98) whose terms of office shall begin on the first day of December following their election.

            Section 2. Executive Committee. The executive Committee shall consist of the elected officers of the Association. The Immediate Past President shall serve on the Executive Committee in an Ex officio capacity.

Article IX. 
Governing Board

The Governing Board shall consist of the Executive Committee of the Association and all Representatives.

Article X. 
Committees

            Section 1. Special Committees or Standing Committees may be appointed by the President, upon request of any five Board Members upon a showing of good cause.

            Section 2. Tournament Committees may be appointed at the request of a Tournament Chairman.

            Section 3. A Nominating Committee comprised of three Representatives, with the President serving in an Ex Officio capacity, shall be appointed by the President before August 31st to select a slate of officers for the coming year. The Committee’s report will be announced at the Association’s final event of the year.

Article XI.
Representatives

Each member Club, the Austin municipal courses, and At Large shall designate, by appointment of election, an Individual to be its representative to the Governing Board.

Article XII.
By-Laws

            Section 1. The Governing Board shall have the power to enact and insure enforcement of By-Laws for the Association.

            Section 2. Amendment or Suspension of the By-Laws may be made at any Regular or Called Meeting of the Governing Board by majority vote of the members of the Board present provided that one week’s prior notice has been given to The Board of the proposed action.

Article XIII.
Amendments of the Constitution

Amendments to the Constitution may be made, upon a two-thirds affirmative vote of the individual members present, at a Regular or Called Meeting of the Governing Board provided that one week’s prior notice has been given of the proposed action.

Article XIV.
Enacting Clause

This Constitution shall become effective, upon a two-thirds affirmative vote of the Board members present, at a Regular or Called Meeting of the Governing Board.
